Terms of Use
These Terms of Use govern your access to and use of the OCRE platform and related services. By accessing the platform, you agree to be bound by these terms.
Eligibility
The OCRE platform is exclusively available to Eligible Contract Participants (ECPs) as defined under Section 1a(18) of the Commodity Exchange Act. By accessing this platform, you represent and warrant that you qualify as an ECP and that you have the legal authority to enter into physically-settled commodity transactions on behalf of your institution.
Platform Services
- Spot Market Board — Institutional catalog and bilateral negotiation for physically-settled commodity instruments
- Forward Origination — Structuring and execution of commercial forward contracts with physical delivery obligations
- Market Data — Access to OCRE Reference Prices, historical data, and real-time market information via API
- Warehouse Warrants — Digital title management for audited, physically-stored commodities at bonded facilities
- Clearing & Settlement — Central counterparty (CCP) clearing with guaranteed settlement finality
User Obligations
- Maintain accurate and current KYC/AML documentation at all times
- Comply with all applicable U.S. federal and state laws, including applicable sanctions regulations
- Not engage in market manipulation, wash trading, spoofing, or any form of fraudulent activity
- Maintain adequate margin and settlement funds as required by platform rules
- Report any suspicious activity or platform security concerns immediately to the Compliance team
- Not share account credentials or allow unauthorized access to your trading account
Physical Settlement
All transactions on OCRE are physically settled. There is no cash settlement option. By entering into a trade, you accept the binding obligation to either deliver or take delivery of the underlying physical commodity according to the settlement terms. Failure to meet delivery obligations may result in margin forfeiture, account suspension, and referral to regulatory authorities.
Limitation of Liability
OCRE Inc. acts as a Central Counterparty and OTC physical clearing network. To the maximum extent permitted by law, OCRE shall not be liable for losses arising from market movements, counterparty default (beyond CCP guarantee mechanisms), force majeure events, or third-party service interruptions. Platform uptime is provided on a commercially reasonable basis.
Governing Law
These Terms of Use are governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes shall be resolved through binding arbitration in Miami-Dade County, FL, under the rules of the American Arbitration Association, unless otherwise required by applicable regulatory proceedings.
Modifications
OCRE reserves the right to modify these Terms of Use at any time. Material changes will be communicated to registered participants at least 30 days in advance via the platform notification system and registered email address. Continued use of the platform after the effective date constitutes acceptance of modified terms.
