CFTC Exclusions

OCRE operates exclusively as a B2B facility for physically-settled spot and commercial forward transactions, qualifying for CFTC Forward Contract Merchant exclusions under the Dodd-Frank Act.

Regulatory Basis

The Commodity Exchange Act (CEA), as amended by the Dodd-Frank Wall Street Reform and Consumer Protection Act, provides specific exclusions for commercial forward contracts — transactions where the intent is actual physical delivery of the underlying commodity. OCRE is structured to operate entirely within these exclusions, ensuring that our platform is NOT classified as a Designated Contract Market (DCM), Swap Execution Facility (SEF), or registered futures market.

What OCRE Is NOT

  • NOT a Designated Contract Market (DCM) — we do not list standardized futures contracts
  • NOT a Swap Execution Facility (SEF) — we do not facilitate swap transactions
  • NOT a retail platform — access is exclusively for Eligible Contract Participants (ECPs)
  • NOT a leveraged trading venue — no margin-based speculative trading or CFDs
  • NOT a registered broker-dealer — we operate strictly as a B2B OTC physical clearing network

Physical Settlement Requirement

Every transaction on OCRE must result in the physical delivery of the underlying commodity. There is no cash settlement option, no financial netting, and no offset mechanism. This is the fundamental design principle that ensures our platform qualifies for the forward contract exclusion: if the physical commodity is not verifiable, the contract is not originated. Each delivery is verified by independent Tier-1 auditors and recorded on our cryptographic ledger for immutable traceability.
